Commercial Terms of Collaboration

1. Definitions
Agency: Refers to FAV CONNECT S.R.L., provider of marketing and SEO services.
Client: The company engaging the Agency’s services.
Services: Marketing, SEO, content creation, advertising and related activities.

2. Scope of Services
The Agency will provide services as outlined in the written proposal.
Any additional services not included in the proposal will require a separate agreement or amendment.

3. Term & Duration
The collaboration can be on a short-term or long-term basis, depending on the service chosen. It is established upon signing the contract.

4. Client Obligations
Provide accurate and timely information, access, and approvals necessary for the execution of services.
Ensure that any materials (logos, content, data) provided do not infringe third-party rights.

5. Fees & Payment Terms
Invoicing will be done in accordance with the agreement reached upon signing the contract.
Late payments may incur interest and may result in temporary suspension of services until payment is received.

6. Intellectual Property
Materials, reports, and deliverables created by the Agency remain the property of the Agency until full payment is received.
Upon receipt of full payment, ownership of final deliverables transfers to the Client, excluding the Agency’s pre-existing tools, frameworks, or methodologies.

7. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive or proprietary information shared during the collaboration.

8. Termination
It is established upon signing the contract.
Any outstanding fees for services provided up to the date of termination remain payable.

9. Limitation of Liability
The Agency shall not be liable for indirect damages, loss of profits, or consequences of third-party actions.

10. Governing Law
These Terms & Conditions are governed by the laws of Romania.
Any dispute or disagreement related to this contract shall be resolved amicably. If the parties fail to reach an agreement, the disputes shall be submitted for resolution to the competent legal authorities in the City of Timișoara.
